Terms of Service
Last updated: 2026-10-28
These terms set out how Owlly — software for restaurants provided over the internet — may be used, and are the terms of service required by article 8 of the Polish Act on Providing Services by Electronic Means. By creating an account and continuing through sign-up, you accept them on behalf of your business.
For agreements made before 28 October 2026, this version applies from 11 November 2026 (section 17).
1. Who we are, and the words we use
The provider is Matteo Liscaio Company 1, ul. Jana Kochanowskiego 47a, 05-091 Ząbki, Poland, NIP 1251793004, REGON 542562362 ("Owlly", "we"). Contact: info@owlly.eu.
- Customer — the business that enters into the agreement to use the Service.
- User — anyone the Customer gives access to Owlly: an owner, admin, manager, an employee in Owlly Staff, a waiter at the till.
- Venue — a restaurant or other site of the Customer; the plan and the fee are set for each Venue separately.
- Service — Owlly with all the modules, apps and AI features described in section 2.
2. What the Service includes
Owlly is software, not hardware. Depending on the plan it includes: the back office (invoices from KSeF, e-mail and photos, payments, dish costs and recipes, stock and stock counts, supplier orders, sales forecasts, the rota and working time, reports), the Owlly POS till with a kitchen screen, the Owlly Staff app for employees, online bookings, the AI assistant, and connections to outside services (section 12). The price list on owlly.eu describes what each plan includes.
We do not sell or rent devices. The till runs on the Customer's tablet and prints on the Customer's fiscal printer through Owlly's tablet app.
3. Technical requirements
- An internet connection and a current browser (Chrome, Safari, Edge or Firefox) with JavaScript and the cookies needed to sign in.
- For the till: an Android tablet or an iPad, and a supported fiscal printer (Posnet) or an ESC/POS kitchen printer.
- To fetch invoices from KSeF: your business's KSeF token or permissions.
- An e-mail address for signing in and for notifications.
4. Making the agreement, and your account
The agreement is made when you create an account and accept these terms during your business's sign-up. The Service is for businesses; the person creating the account confirms they may act for the business.
Give your business's true details and keep them current. You are responsible for the Users you give access to, the rights you give them, and keeping passwords and PINs confidential. If you suspect someone else has access, change the password and write to us.
5. The free trial
A new business may use the free trial once. Its length and scope are shown at sign-up and in the price list (currently 14 days of the back office); no card is needed. The trial may come with starting AI credit.
After the trial, if you have not chosen a plan, we may — after a week's grace — pause the modules until you choose one. Your data is not deleted then: you can sign in, download it, and resume at any time by choosing a plan. If you add a card during the trial, the first charge is taken when the trial ends.
6. Plans, prices and payment
The fee is monthly and charged for each Venue under the plan chosen for it. The price list on owlly.eu gives the prices and what each plan includes; you see the amount to pay, with VAT where it applies, before you confirm the payment. For a chain of three Venues or more we may agree a price individually.
We take payment by card through Stripe, in advance for each month; the subscription renews automatically. We issue an invoice for every payment, in KSeF as well.
If a payment fails, we tell you by e-mail and try again. If the amount stays unpaid, we may pause the paid modules until it is paid; your data is not deleted then.
A price change never affects a period already paid. We announce a price rise at least 30 days ahead; until it takes effect you may cancel with nothing to pay for the next period.
7. AI credit
AI features (reading and checking invoices, menu import, the assistant and others) use AI credit according to actual use. Every charge is shown in Settings › AI credits; no AI feature runs beyond the credit available, and for each feature you choose whether it runs automatically, after you confirm, or not at all.
A plan may include a monthly credit allowance. It renews with each billing period, and any unused part does not carry over. Credit you buy (from 5 zł, by card), or receive in a promotion or from the referral programme, does not expire while the agreement lasts; it is used once the plan's allowance is spent. Credit is not exchanged for money unless the law requires it. A charge for an answer that proved useless through our fault is returned to your credit.
8. Changing plan, and ending the agreement
You can change a Venue's plan at any time in Settings; the change applies at once, and the difference is settled pro rata for the rest of the period.
You can cancel a Venue's plan at any time in Settings. Cancelling takes effect at once, and the unused part of the paid period is credited against your next invoice rather than refunded. The agreement ends when no Venue has an active plan or trial; you can also end it by writing to info@owlly.eu.
We may end the agreement on 30 days' notice, or with immediate effect if the Customer seriously breaches section 13 and does not stop after being asked to, or where the law requires it.
9. Your data
The data you enter or import into Owlly — invoices, sales, recipes, staff and guest details — belongs to you. We use it only to provide the Service, as described in the Privacy Policy.
You can download your business's data at any time (Settings, data export). Neither the end of a trial, nor a pause, nor the end of the agreement deletes your data: we delete it on your instruction, except what the law requires us to keep (accounting records, for example).
10. Processing personal data on your behalf
For the personal data you put into Owlly (about your staff, guests and the people named on invoices), you are the controller and Owlly the processor. This section is the processing agreement required by article 28 of the GDPR; a detailed version is available on request.
- Subject and purpose: providing the Service, for as long as the agreement lasts. The types of data and categories of people are described in the Privacy Policy.
- We process the data only on your documented instructions — which are these terms and your actions in Owlly — unless the law requires otherwise.
- People with access to the data are bound to confidentiality; we apply the security measures described in the Privacy Policy (section 9).
- Sub-processors are listed at owlly.eu/pl/podprocesorzy; every change is published there with a new register version date. You may object to a new sub-processor at info@owlly.eu, and if we cannot agree, end the agreement with nothing to pay.
- We help you answer the requests of the people the data is about, and with your obligations under articles 32–36 of the GDPR.
- We report a personal data breach without undue delay, aiming to do so within 24 hours of becoming aware of it.
- When the agreement ends, the data remains at your disposal: on your instruction we return it (the export) or delete it, unless the law requires it to be kept.
- We provide the information needed to show compliance and allow audits, at an agreed time and no more than once a year unless there has been a breach.
11. AI and automatic features
Owlly reads invoices, matches products, works out dish costs, forecasts sales and suggests orders with AI models and rules. These are decision-support tools: they can be wrong. Where Owlly decides by itself — which stock item an invoice line is, for example — the decision is shown with its reason, and you can change it. Check the results before you use them for accounts, tax returns, pay or orders.
The AI assistant changes your data only as a plan that a person approves and that can be undone for 30 days; it does not message your guests or suppliers unless you tell it to.
12. Outside services
Owlly connects to services you use on their own terms: KSeF, Dotykačka, ChoiceQR, Google (Business Profile, Ads, Analytics, Search Console), Meta, Stripe (your guests' payments), mailboxes and AI apps. You create and remove each connection yourself. We are not responsible for how these services work, their outages or their changes; if one stops answering, Owlly says so on screen and tries again.
13. Rules of use
- Use Owlly lawfully and in line with these terms. Do not enter unlawful content, or special categories of personal data (health, for example) into free-text fields.
- Do not try to reach other customers' data, get around security or limits, overload the Service, copy or reconstruct its source code, or offer Owlly to others as your own service.
- Your fiscal, tax, accounting and employment obligations remain yours. Owlly helps you meet them — it issues invoices in KSeF on your behalf, prints receipts on your fiscal printer, keeps working-time records — but it does not replace an accountant or adviser.
14. Availability, development and support
We work to keep Owlly running without interruption, but do not guarantee constant availability. Where possible we plan technical work outside restaurant service hours; the till can keep working without internet in the mode you switch on for a Venue.
We develop Owlly continuously. New features may reach some customers first. We will not remove a feature your plan includes without 30 days' notice; you may then end the agreement with nothing to pay.
Support: the in-app assistant, the contact form and info@owlly.eu. We aim to answer within one working day.
15. Liability
We are liable for damage caused to the Customer through our fault. We are not liable for lost profits, or for damage resulting from decisions taken on results the Customer did not check (section 11), from outside services (section 12), from data the Customer entered, or from the Customer's devices and internet connection.
Owlly's total liability to the Customer is limited to the fees the Customer paid in the 12 months before the event. The limits do not apply to damage caused intentionally, or wherever the law does not allow liability to be limited.
16. Complaints
Send a complaint about the Service or its fees to info@owlly.eu, describing the problem and naming your business. We answer within 14 days. If the complaint is justified, we fix the fault, and for time the Service did not work through our fault we reduce the fee.
17. Changes to these terms
We may change these terms for good reason: a change in the law, in the Service or in prices, or for security. We announce a change by e-mail and in the app at least 14 days before it takes effect (30 days for a price rise, section 6). If you do not accept it, you may end the agreement by that date with nothing to pay for the next period. The date at the top shows the current version.
18. Final provisions
Polish law governs the agreement. Disputes are settled by the court that has jurisdiction over Owlly's registered seat.
A self-employed person for whom the agreement is not of a professional nature has the protection given to consumers to the extent set by article 385⁵ of the Polish Civil Code and article 38a of the Consumer Rights Act; nothing in these terms limits it.
The Privacy Policy (owlly.eu/privacy) is part of the agreement. Where the Polish and English versions differ, the Polish version prevails.
